Rothschild & Co's private equity arm, Five Arrows, has made its first investment in Austria with the support of DORDA's Digital Industries Group and, together with CGE Partners, acquired a majority stake in Austrian company Intact GmbH.
Intact is a leading provider of end-to-end audit workflow software for certification bodies, standard setters and, more recently, companies. The management and the previous majority shareholder, technology investor IMCap Partners, will continue to hold shares in the company. The financial terms of the transaction were not disclosed.
DORDA's Digital Industries Group, led by M&A-partner Christian Ritschka as well as principal associates Georg Durstberger (Corporate) and Ulrich Weinstich (M&A), successfully advised as Austrian local counsel on all legal aspects of the transaction in Austria. Main counsel was the British law firm Shoosmiths, while HEUKING advised Five Arrows in Germany.
Intact digitizes complex workflows in certification processes. The software enables customers to seamlessly manage all their key operational workflows in a modular software-as-a-service (SaaS) tool, from audit planning and execution to certificate approval and invoicing.
Christian Ritschka on the successful transaction: “We are very proud that our Digital Industries Group was able to support such a significant investment in the context of an international transaction.”
Christian Ritschka, Georg Durstberger and Ulrich Weinstich were supported by a strong DORDA-team, in particular DORDA partners Martin Brodey (M&A), Heinrich Kühnert, (Competition Law), and Bernhard Rieder (Corporate), DORDA principal associates Patrica Backhausen (M&A) and Florina Thenmayer (Employment), as well as associates Stefanie Dirnbauer (IP/IT), Alexandra Hübl-Langer (M&A), Corina Kruesz (Data Protection), Mirko Marjanovic (Competition Law), Nicole Scharl (Corporate) and Antonia Stubbe (Finance).
