DORDA Rechtsanwälte GmbH provided comprehensive legal advice to Inner Mongolia Mengtai Group Co., Ltd. ("Mengtai Group") on the acquisition of Alu Menziken Group ("Alu Menziken") from Montana Aerospace AG, led by HEUKING Rechtsanwälte.
The DORDA M&A team, led by Martin Brodey (Managing Partner) and Patricia Backhausen (Attorney at Law) and supported by Aleksandra Hübl-Langer (Associate), conducted the legal due diligence for the Austrian company Alu Menziken Euromotive GmbH and assisted with the transaction documentation from an Austrian perspective. Heinrich Kühnert (partner, antitrust law/FDI) and Mirko Marjanovic (associate, antitrust law/FDI) advised on the investment control approval application to the BMAW.
Alu Menziken Group is an established manufacturer of lightweight aluminum components, including solutions for e-battery systems, structural components and crash management systems. The group is a partner for suppliers and OEMs in the automotive, rail, construction, industrial and pneumatic sectors. With around 700 employees and production sites in Switzerland, Austria and Romania, Alu Menziken covers the entire value chain, from raw material casting and extrusion to machining, surface treatment and assembly of the finished components. In 2023, the Group generated consolidated net sales of 160.9 million euros and an adjusted EBITDA of 25.4 million euros. The Alu Menziken Group consists of Alu Menziken Group AG, Reinach (Switzerland), Alu Menziken Euromotive GmbH, Ranshofen (Austria), Alu Menziken SRL, Satu Mare (Romania) and Alu Menziken Germany GmbH, Dillingen (Germany).
Montana Aerospace AG and its operating subsidiaries are a leading manufacturer and supplier of system components and complex assemblies for the aerospace, e-mobility and energy industries with global development and production activities. For Montana Aerospace, the sale is a decisive step in realizing its announced goal of streamlining its portfolio and becoming a purer aerostructures company.
Mengtai Group is a large Chinese private enterprise focusing on power generation and distribution, agriculture, and aluminum. Mengtai Group has more than 6,000 employees and reported an annual turnover of approximately EUR 6 billion in 2023. The direct acquirer of Alu Menziken Extrusion AG is Mengtai Germany GmbH, a wholly owned subsidiary of Inner Mongolia Mengtai Group Co, Ltd.

The acquisition agreement is subject to customary conditions, including regulatory approvals. The parties have agreed not to disclose the purchase price.
